These terms govern the Incarneo affiliate programme, published by PRG Sys, 47 rue Vivienne, 75002 Paris ("we"). They apply to any person admitted to the programme (the "Affiliate") and supplement the Terms of Use and the Terms of Sale.
1. Who may become an Affiliate
The programme is reserved for registered professionals: a business, company, self-employed person or micro-entrepreneur holding a valid registration number. This requirement stems from the nature of the sums paid, which constitute remuneration for a service and must as such be invoiced and declared by their recipient.
Registration is verified with the official business register on the basis of the SIREN number provided; the legal particulars required for invoicing are extracted from it. A business that has administratively ceased trading cannot be admitted.
Admission is subject to our approval. We may decline an application without having to state our reasons, in particular where the intended promotion channels are incompatible with the image of the Service.
How to apply: create an account on Incarneo, switch it to a company account from your profile, then go to the Affiliate page of your account area. Enter your company registration number, accept these terms and submit your application. Once approved, your affiliate link and code become active, and you can enter your payment details to receive payouts.
2. The affiliate link and attribution
Each Affiliate receives a personal link. A user is attributed to an Affiliate when they create their account after following that link. Attribution follows three rules:
- First link: where several links have been followed, the first prevails.
- Attribution window: attribution operates during the current session and, if the visitor has consented to measurement cookies, for 90 days.
- Permanent attribution: a user is attributed only once, to a single Affiliate.
Self-referral is prohibited: an Affiliate may not earn commission on their own purchases, nor on those of accounts created for the purpose of circumventing this rule.
3. Commission
The Affiliate earns a percentage of the amount exclusive of tax of the minute purchases made by the users attributed to them, for a set period from the date of attribution or without any time limit. The rate and duration applicable to the Affiliate are those displayed in their account area; they are fixed at the time each user is attributed and are not modified retroactively.
The commission is calculated on the amount exclusive of tax: VAT collected on behalf of the State is not included in its basis. Only purchases actually paid give rise to commission.
4. Holdback, refunds and disputes
A commission becomes payable 30 days after payment of the corresponding purchase, a period during which a refund or a bank dispute may still arise. In the event of a refund of the purchase:
- before payout, the commission is cancelled;
- after payout, it is reversed and deducted from subsequent payouts.
5. Payout
Payable commissions are calculated monthly and paid by bank transfer to the account provided by the Affiliate. Payout takes place only once the balance reaches 50,00 €; below that, the balance is carried forward to the following months until the threshold is reached.
The Affiliate authorises PRG Sys to issue, in their name and on their behalf, the invoices corresponding to the commissions due (self-billing, Article 289 of the French General Tax Code (Code général des impôts)). Each statement is sent to them; in the absence of any objection within thirty days, it is deemed accepted. An Affiliate subject to VAT indicates this in their account area: VAT is then added to their statements. It is their responsibility to declare this income and to pay the corresponding contributions and taxes.
6. What the Affiliate undertakes not to do
- Bid on the Incarneo trademark or its variants in paid advertising.
- Present themselves as Incarneo, or suggest any corporate or official connection.
- Promise features, prices or results that the Service does not guarantee.
- Distribute the link by unsolicited e-mail, or on unlawful, hateful or pornographic media.
- Create artificial accounts, clicks or purchases intended to generate undue commissions.
7. Suspension and termination of the programme
In the event of a breach of these terms, we may suspend an Affiliate's participation in the programme: no further commission is then calculated. Commissions duly earned remain due, with the exception of those resulting from proven fraud, which are cancelled.
Either party may terminate the programme at any time, without notice or compensation. Commissions earned before termination are paid in accordance with Article 5. We may amend these terms; attributions already made retain the rate and duration that applied to them.
8. Personal data
The Affiliate never has access to the identity of attributed users: their account area shows them volumes and amounts, never who bought what. The processing of data relating to the programme is described in our privacy policy.
9. Governing law
These terms are governed by French law. Failing an amicable resolution, any dispute shall fall within the jurisdiction of the courts of the place where PRG Sys has its registered office, the Affiliate acting in a professional capacity. These terms are a translation provided for information purposes only: in the event of any discrepancy, the French version alone shall prevail.
